Hack-Free Guarantee Terms & Conditions
We stand behind our security and IT services. If your business suffers a ransomware attack or breach under our care, we’ll give you a full year of our IT services for free — no questions asked. The only exception is if the breach comes from social engineering or phishing of an employee, fraud due to an external party compromise, if it occurs during the initial onboarding period, or if the Client does not carry valid cyber liability insurance. 1. Guarantee Overview
If a Client experiences a verified breach of their IT environment caused by unauthorized external access or ransomware infection after the initial six (6) month onboarding period of an active Managed Services Agreement with Always Beyond Corp (“Provider”), the Client will be entitled to receive twelve (12) months of IT services free of charge (“Guarantee Period”).
- This Guarantee covers only Provider’s recurring IT services fees.
- Licensing, third-party services, hardware, project work, and out-of-scope services are excluded.
2. Eligibility Requirements
- To qualify for the Guarantee, the Client must:
- Be subscribed to Provider’s full Managed Services package.
- Maintain an active Managed Services Agreement in good standing.
- Be current on all invoices and not otherwise in material breach of the Agreement.
- Have implemented and maintained Provider-recommended security controls, including but not limited to: endpoint protection/EDR, patched/supported operating systems, multifactor authentication (MFA), and monitored backups.
- Ensure all devices are running supported and up-to-date operating systems (no end-of-life or unsupported operating systems).
- Carry and maintain valid cyber liability insurance throughout the term of the Agreement.
- Promptly report the breach and cooperate fully with Provider during investigation and remediation.
- Acknowledge that the Guarantee only begins after completion of the initial six (6) month onboarding period.
3. Exclusions
- The Guarantee does not apply to breaches or incidents caused by or resulting from:
- Social engineering, phishing, or credential theft involving Client employees, contractors, or third parties.
- Fraud where the Client is tricked into sending money to the wrong party, including cases caused by external party compromise.
- Breaches occurring during the initial six (6) month onboarding period.
- Lack of valid cyber liability insurance coverage.
- Compromise of accounts or systems not under Provider’s direct management.
- Failure to follow Provider’s recommended security or usage practices.
- Force majeure events (e.g., zero-day exploits, nation-state attacks).
- Breaches caused by third-party vendors, carriers, cloud services, or applications not managed by Provider.
4. Remedy
- Eligible Clients receive twelve (12) consecutive months of Provider’s IT services fees at no charge, starting the month after breach verification.
- No cash refunds, credits, or substitutions will be provided.
- Guarantee applies only to base Managed Services fees; add-ons, licensing, and project services remain billable.
- Limited to one (1) claim per Client in any rolling 36-month period.
5. Limitation of Liability
- This Guarantee is the sole and exclusive remedy available in the event of a breach covered by the Guarantee.
- Provider shall not be liable for consequential, indirect, incidental, or special damages arising from a breach, whether covered by this Guarantee or not.
- Nothing in this Guarantee supersedes the limitation of liability provisions of the Master Services Agreement.
6. General
- Provider may amend or discontinue the Guarantee at any time for new Clients.
- Any disputes regarding the Guarantee shall be resolved in accordance with the governing law and venue set forth in the Master Services Agreement.
